1. Introduction and Acceptance of Terms

Kiri is a consumer health and wellness application (the "App") that helps parents and caregivers track their child's health, development, and daily activities. The App is operated by Presence Health, Inc. ("Presence Health," "the Company," "we," "our," or "us").

These Terms and Conditions (the "Terms") govern your access to and use of the App, our website at www.saykiri.com (the "Site"), and all related services offered by Presence Health under the Kiri brand (the "Service"). By creating an account, downloading the App, or using the Service in any way, you agree to be bound by these Terms. Your agreement also incorporates, by reference, our Privacy Policy, Medical Disclaimer, and Use of AI Policy. each available at www.saykiri.com.

You consent to receive notices, agreements, and other communications from us electronically (by email or in-app). Electronic notices satisfy any requirement for written notice under applicable law.

If you are using the Service on behalf of another individual or entity, you represent that you have the legal authority to bind that person or entity to these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are between the ages of 13 and 17, you may only use the Service with the express consent and direct supervision of a parent or legal guardian, who accepts these Terms on your behalf. You and your parent or guardian are jointly responsible for all obligations under these Terms.

You represent that you are the parent or legal guardian of any child whose information you enter into the Service, or that you have been expressly authorized by such parent or legal guardian. The Service is not directed to children under 13, and children under 13 may not create accounts or use the Service directly.

3. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address associated with your account, by a prominent in-app notice, or both. at least 14 days before the changes take effect. Minor changes (such as typographical corrections) may be made without notice. We encourage you to review these Terms periodically.

Your continued use of the Service after material changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account under Section 19.

4. Account Registration and Security

Creating Your Account

To access most features of the Service, you must register for an account with accurate, current, and complete information. You agree to keep your account information up to date at all times.

Your Responsibilities

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to:

  • Use a strong, unique password and never share it with others;
  • Log out after each session on shared or public devices;
  • Notify us immediately at support@saykiri.com if you suspect unauthorized access or any security breach; and
  • Not permit any other person to use your account credentials.

We will not be liable for any loss or damage resulting from your failure to protect your account. We reserve the right to disable any account we believe has been compromised.

5. Subscription Plans and Billing

Free and Paid Tiers

Kiri may offer both free and paid subscription tiers. Certain features are available only with a Premium Plan. The features available at each tier are described within the App and may change from time to time.

Billing and Automatic Renewal

If you subscribe to a Premium Plan, you authorize us (or our payment processor) to charge the applicable fee to your designated payment method at the beginning of each billing cycle. Paid subscriptions automatically renew at the end of each period (monthly or annual, as selected) unless you cancel before the renewal date. We will notify you of any price changes at least 30 days in advance.

Free Trials

We may offer a free trial of the Premium Plan. Unless you cancel before the trial period ends, your plan will automatically convert to a paid subscription and your payment method will be charged.

Cancellation and Refunds

You may cancel your subscription at any time through the App's account settings or by contacting support@saykiri.com. Cancellations take effect at the end of the current billing period; no partial-period refunds are provided except where required by applicable law. If you subscribed through the Apple App Store or Google Play, cancellation must be processed through that platform. If you believe you have been charged in error, contact support@saykiri.com within 30 days.

Taxes

You are responsible for all applicable taxes and duties. We will collect and remit taxes where legally required.

6. Description of the Service

Kiri is a software-only consumer health and wellness application. The Service allows parents and caregivers to log, track, and review their child's health and development, including sleep patterns, feeding schedules, growth measurements, medication schedules, vaccination records, developmental milestones, health notes, and photos. Kiri does not include any hardware components.

We may update, modify, add, or remove features at any time. We will endeavor to provide reasonable advance notice of material changes to the Service, but reserve the right to make minor updates without notice.

7. Medical Disclaimer and AI Limitations

IMPORTANT: Kiri is not a medical device and has not been evaluated or approved by the FDA. Nothing in the Service constitutes medical advice, diagnosis, or treatment. Using Kiri does not create a doctor – patient or any other provider – patient relationship between you and Presence Health, Inc., its employees, or its AI systems.

No Medical Advice

All content, tracking data, reports, reminders, and AI-generated insights available through the Service are for general informational and organizational purposes only. They are not a substitute for the advice, diagnosis, or treatment of a qualified physician, pediatrician, or other licensed healthcare professional. Never disregard professional medical advice or delay seeking it because of something you have read or tracked in the App.

If you believe your child is experiencing a medical emergency, call 911 or your local emergency number immediately. Do not use Kiri in emergencies.

AI-Powered Guidance

Kiri uses artificial intelligence to generate personalized insights and guidance ("AI-Generated Content"). AI-Generated Content is informational only. It may not reflect the most current medical research, may contain errors or omissions, does not account for your child's full medical history, and should never be relied upon as the sole basis for any health decision. You are responsible for critically evaluating all AI-Generated Content and verifying important information with a qualified healthcare provider.

Medications, Vaccines, and Growth Data

Medication and vaccine records in the App are based solely on information you enter. Kiri does not verify medication names or dosages and does not provide drug interaction warnings. Growth charts and percentile calculations are reference data only and are not diagnostic. All such information is an organizational tool, not a clinical record.

8. Children's Privacy (COPPA)

Kiri complies with the Children's Online Privacy Protection Act ("COPPA"). The Service is designed for use by parents and guardians, not by children directly. Only adults (18 years of age or older) may create accounts.

When you enter information about your child, you do so as the verified account holder and data controller. We use your child's information only to provide the Service. We do not sell or share your child's personal information with third-party advertisers. As the parent or guardian, you have the right to review, correct, and request deletion of your child's data at any time.

If we learn that a child under 13 has registered for an account without verifiable parental consent, we will promptly delete that account and associated data.

9. California Consumer Privacy Rights (CCPA/CPRA)

If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), including the right to know what personal information we collect, access your data, request deletion, request correction, opt out of the "sale" or "sharing" of your personal information, and not be discriminated against for exercising these rights.

We do not "sell" personal information that directly identifies you as defined under the CCPA. To exercise your California privacy rights, contact us at support@saykiri.com. We will respond to verified requests within 45 days (extendable by 45 days for complex requests).

10. Rules of Conduct and Acceptable Use

By using the Service, you agree to use it only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Violate any applicable federal, state, local, or international law or regulation;
  • Use the Service for any commercial purpose without our express written consent;
  • Use automated tools (bots, scrapers, crawlers) to access, collect, or harvest data from the Service;
  • Attempt to gain unauthorized access to any portion of the Service or any connected system or network;
  • Reverse engineer, decompile, or attempt to derive the source code or algorithms of the Service;
  • Circumvent or disable any security feature of the Service;
  • Transmit unsolicited advertising or promotional material, including spam;
  • Upload or transmit content containing viruses, malware, ransomware, or other harmful code;
  • Impersonate any person or entity, including Presence Health employees;
  • Collect or store personal information about other users without their express consent;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Post or transmit any content that is defamatory, obscene, hateful, harassing, threatening, or otherwise objectionable;
  • Post or transmit content that infringes the intellectual property or other rights of any third party;
  • Attempt to make unauthorized copies of any streamed or delivered content;
  • Overload, flood, or impair the Service infrastructure; or
  • Encourage or assist any other person to engage in any of the conduct above.

Violations may result in immediate termination of your account. We reserve the right to report illegal activity to appropriate law enforcement.

11. User-Generated Content

Ownership and License

You retain ownership of any intellectual property rights you hold in content you create, upload, or submit through the Service ("User Content"). By submitting User Content, you grant Presence Health a limited, non-exclusive, royalty-free, worldwide license to store, display, reproduce, and process your User Content solely as necessary to provide, maintain, and improve the Service and as permitted by our Privacy Policy. This license ends when you delete your User Content or close your account, subject to any retention obligations described in our Privacy Policy.

Your Representations

By submitting User Content, you represent and warrant that you own or have the right to submit it, that it does not violate the rights of any third party, and that it complies with these Terms and all applicable laws.

Our Right to Remove Content

We do not routinely monitor User Content but reserve the right to review, edit, or remove any User Content in our sole discretion, including content that violates these Terms, applicable law, or third-party rights.

12. Intellectual Property

Our Content

All content, features, and functionality made available through the Service (other than User Content), including text, graphics, logos, icons, images, audio, data compilations, software, and the selection and arrangement thereof ("Kiri Content"), are owned by Presence Health, Inc., its licensors, or other rights holders and are protected by U.S. and international intellectual property law.

Your License

Subject to your compliance with these Terms, Presence Health grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Kiri Content for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works from, publicly display, sell, sublicense, or otherwise exploit any Kiri Content without our prior written permission.

Trademarks

The Kiri name, logo, and all related marks and slogans are trademarks of Presence Health, Inc. All other trademarks appearing in the Service are the property of their respective owners. Nothing in these Terms grants you any right to use our trademarks.

Feedback

Any suggestions, ideas, or other feedback you provide regarding the Service ("Feedback") may be used by Presence Health without restriction or compensation to you. By submitting Feedback, you grant Presence Health an unrestricted, perpetual, irrevocable, royalty-free license to use it for any purpose.

13. Third-Party Services and Links

Third-Party Integrations

The Service may allow you to connect with third-party services, applications, or platforms. If you choose to connect a third-party service, you do so at your own risk and subject to that third party's own terms of service and privacy policy. Presence Health is not responsible for the practices, content, or policies of any third-party service.

Links to External Sites

The Service may contain links to third-party websites or resources. These links are provided for convenience only and do not constitute an endorsement by Presence Health. We have no control over third-party content and accept no responsibility for it.

App Stores

The Service may be distributed through the Apple App Store or Google Play. Your use of those platforms is governed by Apple's or Google's terms of service respectively. In-app purchases processed through those platforms are subject to the applicable platform's payment terms.

Service Providers

We use third-party service providers (such as analytics, cloud infrastructure, payment processors, and customer support tools) to help us deliver the Service. These providers access your information only as necessary to perform their functions and are contractually prohibited from using it for any other purpose.

14. Privacy, Data Security, and Retention

Our Privacy Policy (www.saykiri.com/privacy) describes in full how we collect, use, disclose, and protect your personal information and your child's information. The Privacy Policy is incorporated into and forms part of these Terms. By using the Service, you consent to all data practices described therein.

We implement commercially reasonable technical, administrative, and physical safeguards. including encryption in transit and at rest, and access controls. to protect your data against unauthorized access, use, alteration, or disclosure. No method of transmission or storage is 100% secure; you use the Service and transmit information at your own risk.

You may delete specific records through the App at any time. To request full account and data deletion, go to the app settings and select Delete Account or contact support@saykiri.com. We will confirm your request and complete verified deletion requests immediately, except where retention is required by law or for legitimate purposes such as fraud prevention or dispute resolution.

Although Presence Health, Inc. is not a "covered entity" under HIPAA, we are subject to the FTC's Health Breach Notification Rule. In the event of a breach affecting identifiable health information, we will notify affected users as required by that Rule and by applicable state law. 15. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRESENCE HEALTH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, PRESENCE HEALTH DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY INFORMATION PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ERRORS WILL BE CORRECTED; OR (E) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION YOU OBTAIN FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Some jurisdictions do not permit the exclusion of implied warranties; in those jurisdictions, our warranties are limited to the maximum extent permitted by applicable law.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRESENCE HEALTH, INC., ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS (THE "COMPANY PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; COST OF SUBSTITUTE GOODS OR SERVICES; ANY HEALTH OUTCOMES OR DECISIONS MADE IN RELIANCE ON THE SERVICE OR AI-GENERATED CONTENT; OR ANY OTHER INTANGIBLE LOSSES.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE TOTAL AGGREGATE LIABILITY OF THE COMPANY PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO PRESENCE HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow limitations on incidental or consequential damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

17. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or any applicable law; (d) your violation of any third party's rights; or (e) any activity under your account, whether or not authorized by you.

Presence Health reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at its own expense. You agree to cooperate with our defense. This indemnification obligation survives termination of your account and these Terms.

18. Termination and Suspension

Termination by You

You may close your account at any time through the App's account settings or by contacting support@saykiri.com. Upon account closure, your license to use the Service terminates immediately. Sections 7, 11, 12, 15, 16, 17, 20, and 21 of these Terms survive termination.

Suspension or Termination by Presence Health

We reserve the right to suspend or terminate your access to the Service at any time and for any reason, including your violation of these Terms, conduct harmful to other users or third parties, suspected fraud or illegal activity, or extended inactivity. Where practicable, we will provide advance notice before terminating your account, unless doing so would be harmful or impractical.

Following termination, we may retain certain information as required by applicable law or as described in our Privacy Policy. Termination does not relieve you of obligations incurred prior to termination.

19. Dispute Resolution

Informal Resolution First

Before initiating any formal proceeding, you agree to contact us at support@saykiri.com or Presence Health, Inc., 1950 E Greyhound Pass, Suite 18-161, Carmel, IN 46033 with a written description of your dispute. You agree to negotiate in good faith for at least 60 days before pursuing arbitration.

Binding Arbitration

If informal resolution fails, you and Presence Health agree that any Dispute (as defined below) shall be resolved by final and binding individual arbitration, not in court, except as provided below. You and Presence Health each waive the right to a trial by jury. The U.S. Federal Arbitration Act governs this provision. "Dispute" means any claim, controversy, or cause of action arising out of or relating to these Terms or the Service.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. AAA rules are available at www.adr.org. Proceedings may be conducted in Carmel, Indiana or by telephone or videoconference if mutually agreed. The arbitrator may award any relief available in individual court proceedings.

Exceptions

The following are excluded from arbitration: (a) claims qualifying for small claims court; (b) claims for injunctive or equitable relief related to your violation of Section 12 (Intellectual Property); and (c) claims that applicable law renders non-arbitrable.

Class Action Waiver

YOU AND PRESENCE HEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable as to any particular claim, that claim shall be severed and litigated in court; all other claims shall proceed in arbitration.

Opt-Out Right

You may opt out of arbitration and the class action waiver by sending written notice to support@saykiri.com or Presence Health, Inc., 1950 E Greyhound Pass, Suite 18-161, Carmel, IN 46033 within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you opt out. Opting out does not affect any other provision of these Terms.

Confidentiality

You and Presence Health agree to keep all arbitration proceedings, related discovery, and awards confidential, except as required by law.

20. Governing Law and General Provisions

Governing Law and Jurisdiction

These Terms and your use of the Service are governed by the laws of the State of Indiana and the United States of America, without regard to conflicts-of-law principles. For disputes not subject to arbitration, you and Presence Health consent to the exclusive personal jurisdiction of, and venue in, the state and federal courts of Hamilton County, Indiana, and each party waives any objection to that venue.

Entire Agreement

These Terms, together with the Privacy Policy (www.saykiri.com/privacy), the Medical Disclaimer (www.saykiri.com/medical-disclaimer), and the Use of AI Policy (www.saykiri.com/ai-policy), constitute the entire agreement between you and Presence Health regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions continue in full force and effect.

No Waiver

No failure or delay by Presence Health in exercising any right under these Terms constitutes a waiver of that right. No waiver of any breach constitutes a waiver of any subsequent breach.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Presence Health may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets. These Terms bind the parties' permitted successors and assigns.

No Third-Party Beneficiaries

These Terms are solely for the benefit of you and Presence Health. No third party (including your child, other family members, or healthcare providers) has any rights or claims under these Terms.

Relationship of the Parties

You and Presence Health are independent parties. These Terms do not create any partnership, agency, joint venture, employment, or fiduciary relationship between us.

Electronic Consent

You consent to transact electronically and to receive agreements, notices, and other communications from us by email or in-app notice. Electronic records and signatures satisfy any applicable requirement for a written record or signed document under state and federal law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).

Interpretation

Section headings are for convenience only and do not affect the interpretation of these Terms. The word "including" means "including without limitation." No rule of strict construction applies against either party as the drafter.

Force Majeure

Presence Health will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, governmental action, or Internet outages.

We may provide notices to you by email, in-app notification, or posting on our website. You may send legal notices to us by mail at Presence Health, Inc., 1950 E Greyhound Pass, Suite 18-161, Carmel, IN 46033 or by email to support@saykiri.com.

Export Controls

You may not use the Service in violation of U.S. export control laws or regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to a U.S. government embargo.

Accessibility

We are committed to making the Service accessible to users with disabilities. If you experience difficulty accessing the Service, contact support@saykiri.com and we will work with you to provide reasonable accommodations.
